The following questions and answers are designed to provide an understanding of Bent Tree and the membership opportunities available at the Club. This information is only a brief summary, and you should read the Membership Plan and Rules and Regulations prior to purchasing a membership.

What is Bent Tree?

Bent Tree is a new golf course community located two miles west of Poncha Springs, Colorado, featuring exceptional golf, fly fishing, tennis, swimming, fitness, and social facilities. Set on over 500 acres with panoramic views of the Continental Divide with the South Arkansas River gently flowing through the property.

What facilities does the Club offer?

Members, their families and guests will enjoy the following exceptional recreational Club Facilities:
• 18-hole championship golf course designed by Redstone International
• Driving range, practice chipping area and practice putting green
• Clubhouse featuring a dining room and lounge, conference rooms, business center, and concierge
• Full service Golf Shop, bar & grill and Members Only men’s and women’s locker rooms
• Spa & Fitness Center facility with men’s and women’s locker rooms, sauna and massage rooms
• Bent Tree golf cart storage, member golf bag and ski storage
• Pavilion and event lawn
• Swimming pool and kids’ pool
• Hot tub/Jacuzzi
• Two tennis courts
• A fishing lodge right next to the South Arkansas River
• Private fishing access along the South Arkansas River
• Nature trails

When will construction of the Golf Course and Club Facilities be completed?

The first nine holes are estimated to be open for limited play in spring 2011, with 18 holes planned to open during the 2012 season. At the discretion of the Club, construction of the Clubhouse may not commence until 50% of all Golf Memberships have been sold.

How many memberships will be offered in the Club?

The maximum number of memberships permitted in each category will be as follows:

The maximum number of Golf Memberships can be increased by one for every Charter, Corporate or Resort Membership which is not issued. Charter, Corporate and Resort Memberships which are resigned may be reissued as Golf Memberships so that the maximum number of Golf Memberships in the Club can be increased accordingly. The limit on the number of memberships in each category other than Charter Membership may also be expanded so that the Club can issue a membership to the subsequent purchaser of a Charter Member’s property in Bent Tree.

What are the privileges of a Charter Membership?

Charter Members will be entitled to use all the golf, fishing, tennis, swimming, fitness, and social facilities of the Club. Charter Members will be entitled to reserve golf tee times 30 days in advance and will not pay any green fees but will pay cart fees. Charter Members may reserve tennis court times five days in advance and will not be required to pay a court fee. Charter Members will not pay annual or monthly membership dues and will be entitled to special membership benefits as determined by the Club. Charter Memberships may also be acquired by upgrading from a Golf Membership, which is included with every lot purchased in Bent Tree.

What are the privileges of a Golf Membership?

A Golf Membership is included with a lot purchase in Bent Tree and entitles the Golf Member to use all of the golf, fishing, tennis, swimming, fitness, and social facilities of the Club. Golf Members will not be required to pay green fees or court fees for use of the golf and tennis facilities but will be required to pay golf cart fees. Golf Members will be entitled to reserve tee times 21 days in advance and tennis court times five days in advance. Golf Members are required to pay monthly Golf Membership dues.

What are the privileges of a Club Membership?

Club Members will be entitled to use all of the golf, fishing, swimming, fitness, and social facilities of the Club. Club Members will not be required to pay court fees for use of the tennis facilities but will be required to pay a preferred green fee and golf cart fee for use on the golf course. Club Members will be entitled to reserve tee times ten days in advance and tennis court times five days in advance. Club Members may play five rounds of golf per membership year, including rounds played by guests and family members, and may use the golf practice facilities when playing a round of golf. Club Memberships may be acquired by downgrading from a Golf Membership, which is included with every lot purchased in Bent Tree. Club Members are required to pay monthly Club Membership dues.

What are the privileges of a Corporate Membership?

Corporate Members will be entitled to use all of the golf, fishing, tennis, swimming, fitness, and social facilities of the Club. Corporate Members will not be required to pay green fees or court fees for use of the golf and tennis facilities but will be required to pay cart fees. Corporate Members will be entitled to reserve golf starting tee times 21 days in advance and tennis court times five days in advance. Corporate Memberships may be acquired by upgrading from a Golf Membership and will be available to businesses and group ownership of property requesting more than one membership. Each business or group of individuals that acquires a Corporate Membership with the purchase of a lot is required to purchase up to three Corporate Memberships. Corporate Members are required to pay monthly Corporate Membership dues. Please refer to the Membership Plan for Corporate Membership details.

Will my family members be welcome at the Club?

Yes. The ability to spend quality time with your family is a very high priority these days. The Club is committed to providing a pleasant environment where this can be enjoyed. Each membership in Bent Tree is a family membership, which includes full privileges for spouses and unmarried children under the age of 23 who either live at home or attend school on a full-time basis. The Club intends to provide programs and activities that are appealing to family members of all ages. The Club reserves the right from time to time to permit the extended family of a member to use the membership privileges upon payment of such fees as may be established by the Club. The extended family shall include parents, adult children who do not fall within the definition of immediate family, grandparents, grandchildren, brothers and sisters of the member and his or her spouse and their respective spouses and children under the age of 23.

May I invite guests to the Club?

Yes. Having your friends enjoy the Club’s outstanding facilities with you is a wonderful feature of a membership in Bent Tree. Members are entitled to have guests use the Club Facilities in accordance with the member’s category of membership and the Rules and Regulations adopted by the Club to preserve the enjoyment of its facilities.

Are there plans for an on-site Resort?

Yes. Bent Tree has set aside an area adjacent to the Clubhouse for an on-site Resort to accommodate up to 135 rooms.

What are the privileges of a Resort Membership?

Resort Memberships will allow guests staying at such accommodations (“Resort Guests”) to use the Club Facilities on such terms and conditions as the Club determines appropriate. The Club may, from time to time, allocate certain tee times for Resort Guests and schedule group play, including shot-gun starts. Tee times will be reserved for Resort Guests with a limit on the number of available tee times to be determined by the Club.

Will there be any other types of memberships available in the Club?

The Club may issue Casita Memberships to individuals acquiring an interval ownership interest in Casitas located in Bent Tree. Annual Memberships are available to individuals not residing in Bent Tree. The Casita and Annual Memberships will count toward the limit on the number of Golf Memberships available in the Club as provided in the Membership Plan. A limited number of Staff, Founders and Honorary Memberships will also be available and will not count towards the membership cap.

What type of member services will be offered in the Club?

A concierge service is available to members and their guests, which will assist in arranging for a variety of personal services, including but not limited to lodging, home maintenance, housekeeping, transportation, and scheduling of recreational activities in the area. Concierge services will also include a host of services related to skiing, including shuttle service to Monarch Mountain and member ski storage. The concierge service is included with a membership, but the cost of services used will be charged to the member.

What are the special features of a membership in the Club?

In addition to exceptional Club Facilities and an extensive array of programs and activities for members and their guests, membership in the Club currently offers a number of attractive benefits, including:

• Refundable Membership Deposit. One hundred percent (100%) of the membership deposit actually paid for a membership is refundable upon resignation and reissuance of the membership, as provided for in the Bent Tree Membership Plan.
• Immediate Family Privileges. A member, his of her spouse, and their unmarried children under the age of 23 who are living at home or attending school on a full-time basis are entitled to membership privileges without having to pay additional membership dues.
• Extended Family Privileges. The parents, adult children, grandparents, grandchildren, brothers and sisters of the member and his or her spouse and their respective spouses and children under 23 are also entitled to use the Club Facilities upon payment of reduced green fees and any applicable user fees.
• Resigned Memberships Reissued Prior to Membership Sell-Out. Resigned members do not have to wait until all new memberships in Bent Tree have been issued before their membership is reissued, as provided for in the Membership Plan.
• Transferability of Memberships. Memberships are transferable through the Club to the subsequent purchaser of a member’s residence or homesite in Bent Tree. Members who do not desire to retain their full membership privileges may arrange through the Club to transfer their membership privileges and respective dues and obligations to those non-resident individuals on the Club’s waiting list for an Annual Membership, upon obtaining the approval of the Club and payment of any required administrative or transfer fees. Annual Memberships will be available through the Club and will be recallable on a first-in, last-out basis once the membership cap is met, as defined in the Membership Plan.
• No Assessments. Members are not subject to either operating or capital assessments. Bent Tree is a non-equity Club.
• Preferred Pricing. Charter, Golf and Club Members are entitled to receive a discount on golf shop soft good purchases (excluding sale merchandise) at the Club as outlined in the Membership Plan.
• Lessee Privileges. A member who leases his or her residence in Bent Tree for a period of at least six months may designate the lessee of the residence as the beneficial user of the membership, subject to the approval of the Club.
• Concierge. A concierge service is available which will enable members to arrange for a variety of personal services within Bent Tree and the surrounding community.
• Housecleaning and Maintenance. Members can schedule housecleaning and home maintenance through the Club.
• Club Newsletter. Members will receive a regular newsletter containing information about events and activities at Bent Tree and other items of interest.
• On-Line Services. Through the Bent Tree website, members will be able to secure tee times, sign up for tournaments/special events, purchase merchandise, and keep up to date on the latest activities at the Club.

The Club reserves the right to change or eliminate certain membership benefits from time to time.

What do I have to pay in order to acquire a Golf Membership in the Club?

A Golf Membership is included with the purchase of a lot in Bent Tree.

When are monthly dues to begin?

Reduced monthly dues will begin upon the opening of the first nine holes.

Who is eligible to acquire a membership in the Club?

A Golf Membership in the Club will be included with the initial purchase of a homesite in Bent Tree. The number of memberships in each category is limited, and available memberships in each category will generally be issued on a first-come, first-serve basis.

When will the membership deposit be repaid to the member?

Each person who acquires a refundable membership will be entitled to receive a refund of his or her membership deposit, without interest, 30 years from the date of the member’s admission to the Club. In the event that the member resigns from the Club before the end of the 30-year period, the member will be entitled to receive the membership deposit within 30 days after the reissuance of the member’s membership by the Club to a new member. A member who has acquired a membership from the Club will not be permitted to resign the membership for a period of 36 months following issuance thereof, except in the case of the death of the member.

Is Bent Tree a Private Club?

Yes. To keep costs down for the members, Bent Tree will initially be a Semi-Private Club with limited public access to the golf course and restaurant.

Can I arrange to have my membership transferred to the subsequent purchaser of my residence or homesite?

Yes. Members who own a residence or homesite in Bent Tree will be permitted to arrange through the Club for the transfer of their membership to the subsequent purchaser of their residence or homesite.

How will the Club keep informed of the desires of the members?

The Club is committed to providing the types of services, programs, activities, and events that the membership requests. An Advisory Board comprised of members of the Club will be established to represent the members.
